Terms and Conditions


1. Definitions

The following definitions shall be used in the context of this Terms and Conditions:

A) "Premium Profiles" means Premium Profiles B.V. if you are a Candidate or Employer located in the The Netherlands and United Kingdom.

B) "Candidate": Any natural person, which has registered their Profile information on www.premiumprofiles.com whom Premium Profiles recruits and selects with the aim of having such person enter into an employment contract with the Employer.

C) "Employer": The party on whose behalf Premium Profiles makes the effort to recruit and select a Candidate.

D) “Affiliate”: Any natural person or organization that has registered an account at the www.premiumprofiles.com website to introduce new Candidates and/or Employers.

E) “Charity organization”: Any Non-Profit organization involved in charity projects related to providing Education to people that without this support can normally not get access to this education.

F) "Engagement": The Terms and Conditions between Premium Profiles and the Employer in the context of which Premium Profiles makes the effort towards the Employer to recruit and select a Candidate.

G) “Gross annual salary": The gross annual salary agreed between Candidate and Employer in the employment contract. This excludes any allowances or bonuses.

H) “Gross annual income": The gross annual salary agreed between Candidate and Employer based on a fulltime employment, plus fixed vacation allowance, plus fixed bonuses, plus 70% of maximum achievable profit-sharing bonuses and plus other fixed emoluments as have been guaranteed or may reasonably be expected (car allowance, pension allowance, housing allowance, travel/car allowance or the annual lease value of any car placed at the disposal of the Candidate by the Employer etc.).

I) “Probation Success Premium”: The Premium that Premium Profiles will pay to the Candidate if the Candidate has successfully passed the probation period (or 3 months employment if this is sooner). The Probation Success Premium will be paid within 3 working days after the complete Engagement fee from the Employer is received on the bank account of Premium Profiles. On the website in some places this payment is referred to as “New Employment Reward” or “Cash Premium”.

J) “Affiliated Candidate Premium”: The Premium that Premium Profiles will pay to the Affiliates if the affiliated Candidate has successfully passed the probation period (or 3 months employment if this is sooner). The Affiliated Candidate Premium will be dependent on the country where the Employer is located and will be paid within 3 working days after the complete Engagement fee from the Employer is received on the bank account of Premium Profiles.

K) “Affiliated Employer Premium”: The Premium that Premium Profiles will pay to the Affiliates if the Candidate has successfully passed the probation period (or 3 months employment if this is sooner) at the affiliated Employer. The Affiliated Employer Premium will be dependent on the country where the Employer is located and will be paid within 3 working days after the complete Engagement fee from the Employer is received on the bank account of Premium Profiles.

2. Confidentiality and Data Protection

2.1 All information provided by the Employer or the Candidate that can be reasonably considered confidential will not be disclosed by Premium Profiles without the prior consent of the counterparty, unless disclosure of such information is required by law or by a court order, or unless the information has already been released to the public through other means than a breach of this clause. All Candidate details made available to the Employer by Premium Profiles will continue to be part of the confidential information of Premium Profiles and the Employer. Similarly, all Employer data shared with the Candidate is considered confidential information of Premium Profiles and the Candidate.

2.2 Premium Profiles shall comply with its obligations in respect of the privacy of data as more particularly set out in the General Data Protection Regulation (GDPR) as approved by the EU Parliament on 14 April 2016. The Employer and the Candidate agree to indemnify and hold harmless Premium Profiles for all costs, damages, expenses, liabilities, direct losses, interests and penalties, as well as reasonable legal and professional fees caused by inappropriate use of Employer and Candidate information by Employers (including their subsidiaries, employees, directors, contractors or agents) or Candidates (including their personal relations). 3. Liability

Premium Profiles is designed to connect Employers with the most suitable Candidates, however, unfortunately Premium Profiles cannot provide any guarantee of Candidates’ suitability. Furthermore, Premium Profiles cannot guarantee the truthfulness of any information provided by the Candidate. It is the Employer’s responsibility to verify the references that are provided by the Candidate (which includes the verification of all claims of academic or professional qualifications, professional background, experiences and the like). The Employer shall be responsible for ensuring the suitability of Candidates presented by Premium Profiles prior to hiring such a Candidate. Any loss or damages incurred by Employer with regards to the engagement between Employer and Candidate will not be assumed by Premium Profiles, regardless whether the damage or loss is due to the Candidate’s incompatibility (which may be determined afterwards) or other reasons. The Employer shall indemnify Premium Profiles against any costs that may arise in relation with the engagement.

4. The Recruitment Service of Premium Profiles

4.1. The Recruitment Service of Premium Profiles is available for Middle Management and higher-level functions in the market paying at least minimum Gross Annual Income as indicated in the below table (dependent on the country of the Engagement):

4.2. The Candidates can register their Profile if their current Gross Annual Income is above the minimum amounts mentioned in the aforementioned paragraph.

4.3. Premium Profiles shall provide original Candidate information only if Employer has signed Agreement with Premium Profiles. Without signed Agreement Premium Profiles will share with Employer only generic, anonymous Profile descriptions (no names of people, companies, education institutes or any like, no information on content of work experience, nothing specific that could reveal the original Candidate information).

4.4. Premium Profiles shall use reasonable skill and care in the sourcing and Introduction of Candidates to the Employer.

4.5. The Employer shall provide Premium Profiles with details of the particular vacant position, including the anticipated Salary Package, job description and any other information reasonably necessary to enable Premium Profiles to assess the suitability of a Candidate for that vacant position.

4.6. If Premium Profiles approaches a particular Candidate on the Employer’s behalf with the Employer’s consent, the Employer will indemnify and keep Premium Profiles indemnified against all liabilities, costs, expenses, damages and direct losses and all interest, penalties and reasonable legal and professional costs and expenses suffered or incurred by Premium Profiles as a result of claims made against Premium Profiles related to the approach made by Premium Profiles provided that Premium Profiles did not act negligently or illegally in the process.

4.7. Premium Profiles cannot guarantee that Candidates will be willing or available to accept any terms of engagement or fill any vacancy.

4.8. Employers agree to hold Premium Profiles harmless for, and release Premium Profiles from liability for, any and all losses, including but not limited to loss of revenue (anticipated or otherwise), loss of savings (actual or anticipated), loss of profit, direct losses, indirect or consequential losses, loss of reputation or regulatory fines, liabilities, costs and expenses (may include legal costs and expenses) incurred by the Employer and caused by the Candidate’s acts or omissions, including their acts or omissions while they are employed by the Employer.

4.9. The final decision to hire or engage the services of a Candidate is the responsibility of the Employer and does not rest with Premium Profiles.

4.10. The Employer shall inform Premium Profiles within 3 working days after they have signed an employment contract with the Candidate and shall provide the following information: start date of employment, probation period and Gross annual income components.

4.11. The Employer shall inform Premium Profiles within 3 working days after the Candidate has successfully passed the probation period (or within 3 months if probation is longer).

4.12. The Employer will make Premium Profiles aware of any security and/or health and safety requirements which Premium Profiles staff and/or the Candidate must observe whilst at the Employer’s premises.

4.13. The Employer authorizes Premium Profiles to use and reproduce the Employer’s name, trademark, and logo for use in advertising and for general promotional literature, which may be used online or in print, unless notified by the Employer in writing to Premium Profiles that they are not providing consent. The consent is given on the condition that Premium Profiles will not make any amendments to the Employer’s name, trademark and logo without the Employer’s prior written consent. This provision does not provide any ownership rights to Premium Profiles over the intellectual property of the Employer.

4.14. Premium Profiles shall not be responsible for arranging work permits, insurance or other incidental requirements of employment for the Candidate.

5. Employer Fees and Payment

5.1. The Recruitment fees, payable to Premium Profiles by the Employer, shall be expressed as a percentage of the first gross annual income to be earned by the Candidate in the Employer’s employ.

5.2. On acceptance by a Candidate of the Employer’s offer the Employer shall pay Premium Profiles a fee in the amount of 12% of the Candidate’s gross annual income.

5.3. Payment of the fee referred to in the preceding paragraph shall be effected in the following manner:

  • On acceptance by a Candidate of the Employer’s offer, Premium Profiles will invoice 6% of the Candidate’s gross annual income. Payment is due on the Start date of the Employment of the Candidate.
  • Premium Profiles will invoice the Employer 6% of the Candidate’s gross annual income 2 weeks before the contract probation period (or 2 weeks before 3 months period if this is sooner). Payment to Premium Profiles is due on the date the Candidate successfully passes the probation period (or after maximum 3 months whichever is soonest).
  • Only after Premium Profiles received on their bank account the full fee from the Employer, Premium Profiles will arrange payments of the Probation Success Premium to the Candidate, and any payments to any involved affiliates such as: Affiliated Candidate Premium and/or Affiliated Employer Premium and the Education related Charity donation.

5.4. All cost and prices mentioned in quotations, contracts and this Agreement are excluding VAT or sales tax, where applicable, unless otherwise stated.

5.5. Premium Profiles will be entitled to impose an obligation to the Employer to pay 15% annual interest on amounts that remain outstanding to Premium Profiles on expiry of the payment term. This will also mean that the Employer shall automatically be in default, without any need for Premium Profiles to serve a notice of default.

5.6. If Premium Profiles incurs any judicial and extrajudicial costs in connection with the recovery and collection of overdue amounts payable by the Employer, the costs will be for the Employer’s account. There will be a minimum amount of 15% of the Employer amount due as compensation to be paid for the extrajudicial collection costs.

5.7. Any payments that will be made by the Employer will be applied primarily to reduce the interest due and secondarily to reduce the judicial or extrajudicial fees due, as described in the two preceding paragraphs. The remainder of each payment will be applied to the reducing the earliest outstanding amount due to Premium Profiles.

6. Employer’s other obligations

6.1. The Employer is not given consent to provide information about or introduce the Candidate to third parties unless specifically given permission by Premium Profiles. If the Employer is determined to have done so within 18 months of the Candidate’s original introduction by Premium Profiles to the Employer, and it resulted in an employment contract or contractual relationship with the Candidate (or a personal relation of the Candidate or a legal entity with which the Candidate is involved), the Employer will be obligated to make a payment to Premium Profiles for the service provided by Premium Profiles (calculated as described in article 5.2), as well as for any interest accumulated or judicial or extrajudicial costs incurred by Premium Profiles, as described in the preceding three paragraphs.

6.2. If the Employer rejects a Candidate presented by Premium Profiles, or the Candidate turns down an Employer’s offer to enter into an employment contract, and a contract of employment or other contractual relationship is nevertheless established between the Employer and the Candidate (or a personal relation of the Candidate or a legal entity with which the Candidate is involved) within 18 months of the initial introduction of the Candidate to the Employer by Premium Profiles, the Employer will be obligated to make a payment to Premium Profiles for the service provided by Premium Profiles (calculated as described in article 5.2), as well as for any interest accumulated or judicial or extrajudicial costs incurred by Premium Profiles, as described in the preceding four paragraphs.

6.3. If a contractual relationship other than an employment contract is established in a circumstance described in the previous two paragraphs, “first gross annual income”, used to determine the fee due to Premium Profiles for the service required, is defined as the Candidate’s expected gross annual income.

7. Premature Termination of Employment Contract

7.1. If the Candidate’s employment contract is terminated by the Employer or the Candidate during the Candidate’s probation period (which can be up to three months after the establishment of the contract), Premium Profiles will present one or more new Candidates in an attempt to replace the Candidate with whom the employment contract was terminated at no additional cost to the Employer, provided each of the following:

A) Premium Profiles receives a written notification from the Employer within seven days of the contract’s termination;

B) the termination of the contract was not the result of the Employer’s amendment of or failure to comply with the employment contract;

C) the basic characteristics of the position have not changed;

D) the termination of the contract was not the result of forced redundancy, restructuring, merger or acquisition;

E) the Employer has settled all amounts having been invoiced by Premium Profiles;

F) the request is given exclusively to Premium Profiles to replace the Candidate;

G) the Employer has complied with such conditions as set out in this Agreement.

7.2. If a Candidate’s employment contract is terminated and Premium Profiles presents one or more additional Candidates as potential replacements as described in the previous paragraph, and the Employer (or a personal relation of the Employer or a legal or business entity with which the Employer is involved) establishes another employment contract or contractual relationship with the original Candidate whose contract was terminated, the Employer will be obligated to make a payment to Premium Profiles in compensation for the effort expended by Premium Profiles to replace the original Candidate whose contract was terminated, as well as for any interest accumulated or judicial or extrajudicial fees incurred by Premium Profiles as described earlier in this Agreement.

8. Candidate’s other Obligations

8.1. After receiving Employer information from Premium Profiles, the Candidate should under no circumstances contact or enter into an Agreement with the Employer without informing Premium Profiles of this. Should the Employer contact the Candidate directly, Premium Profiles expects the Candidate to inform Premium Profiles about this.

8.2. Premium Profiles will pay the Probation Success Premium within 3 working days after it has received in full from the Employer, the fees related to the Engagement involving the Candidate.

8.3. The Candidate can receive the Probation Success Premium from Premium Profiles in two ways. Premium Profiles will not pay the Probation Success Premium in any other way than the following:

A) Premium Profiles transfers the Probation Success Premium to the PayPal account of the Candidate. The PayPal information needs to be the same as the information Premium Profiles obtained during the registration process of the Candidate account. To use this PayPal option, Premium Profiles will deduct 3% transaction fee that Premium Profiles needs to pay to PayPal.

B) The Candidate sends to Premium Profiles a screen shot of your bank statement where is shown your bank account number, address and IBAN/BIC information. We will then transfer the money to that account. No bank charge will be deducted.

8.4. All Probation Success Premium payments to any Candidate are gross amounts and the Candidate will be responsible for paying all applicable taxes on the received amount.

8.5. Upon completing the Profile registration on www.premiumprofiles.com the Candidate therewith declares that the details provided to Premium Profiles and included in the uploaded resume are true and correct to the best of the Candidate’s knowledge and belief. The Candidate is obliged to undertake to inform Premium Profiles of any changes therein, immediately. In case any of the information provided to Premium Profiles is found to be false or untrue or misleading or misrepresenting, the Candidate may be held liable for it. Premium Profiles shall in this case immediately terminate the registration as Candidate in their database. The Candidate will in this case not be eligible anymore for any payments from Premium Profiles.

8.6. The Candidate shall inform Premium Profiles within 3 working days after they have signed an employment contract with the Employer and shall provide the following information: start date of employment, probation period and Gross annual income components.

8.7. The Candidate shall inform Premium Profiles within 3 working days after they have successfully passed the shorter of the probation period or three months of successful employment.

8.8. The Candidate shall inform Premium Profiles within 3 working days after they resigned with or have been terminated by the Employer during the shorter of the probation period or three months of successful employment.

8.9. The Probation Success Premium scheme is as follows:

9. Cancellation Candidate/Affiliate registration at Premium Profiles

9.1. The Candidate can close the registered account at www.premiumprofiles.com at any time except when the Candidate is in the process of selection, interview or fulfilling the shorter of the probation period or three months of successful employment.

9.2. The Affiliate can close the registered account at www.premiumprofiles.com at any time.

9.3. Upon closing of the account by the Candidate or Affiliate, Premium Profiles will permanently delete all information from their system and servers.

9.4. Once the account is closed, the Candidate and Affiliated parties linked to this account lose the right to receive any Probation Success Premium, Affiliated Candidate Premium and/or Affiliated Employer Premium.

10. Affiliate Sharing program

10.1. Only after Premium Profiles received the full fee from the Employer, Premium Profiles will arrange any payments to any involved affiliates (Affiliated Candidate Premium and/or Affiliated Employer Premium).

10.2. The Affiliate can receive the Affiliate Premium from Premium Profiles in two ways. Premium Profiles will not pay the Affiliated Candidate Premium and/or Affiliated Employer Premium in any other way than the following:

A) Premium Profiles transfers the Affiliated Candidate Premium and/or Affiliated Employer Premium to the PayPal account of the Affiliate. The PayPal information needs to be the same as the information Premium Profiles obtained during the registration process of the Affiliate account. To use this PayPal option, Premium Profiles will deduct 3% transaction fee that Premium Profiles needs to pay to PayPal.

B) The Affiliate sends to Premium Profiles a screen shot of your bank statement where is shown your bank account number, address and IBAN/BIC information. We will then transfer the money to that account. No bank charge will be deducted.

10.3. All Affiliated Candidate Premiums and/or Affiliated Employer Premiums payments to any Affiliates are gross amounts and the Affiliates will be responsible for paying all applicable taxes on the received amounts.

10.4. The Affiliated Candidate Premium is dependent on the country of Engagement:

10.5. Premium Profiles shall inform the Affiliate if the Candidate cancels the registration with Premium Profiles. Except for Affiliated Candidate Premium relating to pending Engagements, the Affiliate shall not be entitled to any further Affiliated Candidate Premiums payments anymore.

10.6. Premium Profiles shall pay the Affiliated Employer Premium to the Affiliate one time, upon completing the first Engagement with the Affiliated Employer. To avoid conflict of interest Premium Profiles will not pay premium to persons that are employed by the Employer that is being introduced. The Affiliated Employer Premium is dependent on the country of Engagement:

10.7. Premium Profiles shall inform the Affiliate if the Employer cancels the Agreement with Premium Profiles. Except for Affiliated Employer Premium related to pending Engagements, the Affiliate shall not be entitled to any further Affiliated Employer Premiums payments anymore.

10.8. In case an Employer re-enters in a (new) Agreement with Premium Profiles no Affiliate shall be entitled to receive any Affiliated Employer Premium.

11. Premium Profiles Caring Program

11.1. Only after Premium Profiles received the full fee from the Employer, Premium Profiles will arrange within 3 working days the payment to a selected Education Charity Organization.

11.2. The amount that will be paid to the selected Education Charity Organization is dependent on the country of Engagement:

11.3. Each year Premium Profiles will obtain an Auditors Statement to confirm that Premium Profiles fulfilled their obligation to pay to the Education Charity Organizations the amounts that they committed to contribute as described in these Term and Conditions.

12. Ethical Considerations

12.1. The introduction of Candidates to the Employer shall only take place after they have been interviewed and brought up to date on the vacancy in question.

12.2. Personal information will only be made accessible with the Candidate’s consent. Premium Profiles will proceed with caution when handling business and personal data regarding the Employer and the Candidate.

12.3. Premium Profiles will handle business and personal information regarding Employers and Candidates with caution and discretion. Information about the Candidate will only be made available with the Candidate’s permission. The Employer is obligated to ensure that all its employees conform to all pertinent laws, rules, and regulations relating to bribery and corruption. The Employer agrees that neither it nor its employees will offer, promise, give or agree to give any person, or accept or agree to accept from any person, whether for itself or on behalf of another, any gift, payment, consideration, facilitation payment, financial or non-financial advantage or benefit of any kind which is illegal or corrupt under the laws of any country (together a “bribe”), directly or indirectly in connection with this agreement or any other agreement existing now or in the future with Premium Profiles. The Employer is obligated to report in writing to Premium Profiles any requests, offers, or demands for any bribe in connection to this Agreement.

13. Applicable Legal System; Competent Court

13.1. This Agreement and the Engagement to which they apply shall be governed by Netherlands law.

13.2. Any disputes arising from or relating to the Engagement to which this Agreement apply and any disputes in connection with this Agreement shall be brought before the Court in Amsterdam (Amsterdam District Court) in so far as the said court is competent to take cognizance of such disputes.
